1. Acceptance of Terms

These terms of service are entered into by and between You and NextGen DLM. The following terms and conditions, together with any documents they expressly incorporate by reference (collectively, "Terms of Service"), govern your access to and use of nextgen-dlm.com and the NextGen DLM desktop application, including any content, functionality, and services offered.

2. License Grant

Subject to your compliance with these Terms, NextGen DLM grants you a limited, non-exclusive, non-transferable, non-sublicensable license to download and install a copy of the App on a Windows 10 or Windows 11 device that you own or control and to run such copy of the App solely for your own personal, non-commercial purposes. Pro license holders may use the software for commercial purposes in a business environment.

3. Acceptable Use Policy

You may use the App and Website only for lawful purposes and in accordance with these Terms of Service. You agree not to use the App:

In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, laws regarding the export of data or software to and from the US or other countries).
To download, host, or transmit copyrighted material, proprietary trade secrets, or intellectual property that you do not have the explicit, legal authorization to access.
To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the App, or which, as determined by us, may harm NextGen DLM or users of the App.
To aggressively ping, DDoS, or attempt to overwhelm third-party web servers using our 16x multi-threading feature maliciously.

4. Disclaimer of Warranties

You understand that we cannot and do not guarantee or warrant that files available for downloading from the internet or the Website will be free of viruses or other destructive code. You are responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for anti-virus protection and accuracy of data input and output. THE APP AND WEBSITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

5. Limitation on Liability

IN NO EVENT WILL NEXTGEN DLM, ITS AFFILIATES OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE WEBSITE, THE APP, ANY WEBSITES LINKED TO IT, OR ANY CONTENT ON THE WEBSITE OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA.

6. Governing Law and Jurisdiction

All matters relating to the Website, the App, and these Terms of Service, and any dispute or claim arising therefrom or related thereto, shall be governed by and construed in accordance with the internal laws of the State of Delaware without giving effect to any choice or conflict of law provision or rule.
